2. INTELLECTUAL PROPERTY RIGHTS

2.1 Trademarks and Logos

The name “BROWNFIELD”, the brand mark, vector logos, and the tagline “Inspired By Excellence.” are registered or common-law trademarks of Brownfield Multipack. Unauthorized use, reproduction, alteration, or distribution of these trademarks without express written authorization from Brownfield Multipack is strictly prohibited under the Indian Trademarks Act, 1999 and international intellectual property treaties.

2.2 Proprietary Content

All content, product listings, technical specification sheets, design assets, code, images, and material available on brownfieldindia.com are protected under the Indian Copyright Act, 1957 and international copyright laws.

3. DOMESTIC (PAN-INDIA) LEGAL & COMMERCIAL TERMS

3.1 Regulatory Compliance

All goods manufactured and supplied across India adhere to applicable Bureau of Indian Standards (BIS) specifications, quality control orders, and domestic statutory regulations (including Central and State Goods and Services Tax Acts – GST).

3.2 Product Specifications and Tolerances

• Films & Packaging (Agriculture & Packaging Divisions): Standard manufacturing variances apply regarding gauge thickness, roll width, UV stabilization ratios, and elasticity parameters (typically ±5% to ±10% depending on industrial standard specifications).
• Conductors & Cables (Infrastructure Division): All AAC, AAAC, AB Cables, ACSR, and HTLS Conductors comply strictly with tender/order parameters and Indian Standard specifications (IS series) regarding electrical conductivity, tensile strength, and weight limits.

3.3 Limitation of Liability

Brownfield Multipack shall not be held liable for failure or malfunction of products caused by:

• Improper installation or handling contrary to user guidelines or engineering parameters.
• Extreme environmental conditions beyond designated product ratings (e.g., incorrect UV exposure application for mulching/silage films or exceeding load limits for HTLS conductors).
• Direct, indirect, incidental, or consequential damages resulting from site usage or product deployment.

4. INTERNATIONAL EXPORT & TRADE TERMS

For all transactions outside the territorial jurisdiction of the Republic of India:

4.1 Governing Trade Rules (INCOTERMS)

Unless explicitly modified in a written Contract of Sale or Proforma Invoice signed by an authorized representative of Brownfield Multipack, all export trade terms (such as FOB, CIF, CFR, EXW, or DDP) are interpreted under INCOTERMS 2020 as published by the International Chamber of Commerce (ICC).

4.2 International Sales Law Exclusions

International commercial contracts executed by Brownfield Multipack shall be governed by Indian Substantive Law. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded unless mutually agreed upon in writing.

4.3 Export Control, Tariffs, and Duties

• The Buyer is solely responsible for compliance with destination country import regulations, customs clearances, import tariffs, counter-vailing duties, local taxes, and quarantine inspection certificates required for packaging or agricultural materials.
• Brownfield Multipack warrants that all products supplied comply with Indian Export Customs Control Laws and are accompanied by standard export documentation (Bill of Lading/Airway Bill, Commercial Invoice, Packing List, and Certificate of Origin where applicable).

5. PRIVACY POLICY & DATA PROTECTION (DPDP ACT Compliance)

5.1 Collection of Personal & Commercial Information

We collect user details (such as name, company name, corporate email address, telephone numbers, and delivery/billing address) exclusively for processing trade inquiries, executing transactions, managing supply chain logistics, and providing customer support.

5.2 Data Usage & Protection

6.2 Dispute Resolution & Jurisdiction

• Amicable Settlement: In the event of any dispute, controversy, or claim arising out of or relating to goods, website use, or commercial agreements, the parties shall first attempt to resolve the matter through mutual negotiations.
• Jurisdiction: Any legal proceedings, suits, or claims that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts located in Indore, Madhya Pradesh, India (or designated corporate headquarters city).
